Chicago, IL– November 11, 2014 — Thomas Patterson of The Patterson Law Firm will be a keynote speaker for a National Business Institute (NBI) webcast entitled “Indemnification and LLCs,” discussing specifically the fiduciary duties in limited liability companies (LLCs) and ethics.
The webcast is set to air Tuesday, November 25, 2014. The program focuses primarily on indemnity issues and explores fiduciary duties created by the common law, by statute, and by contract. The Uniform Limited Liability Act, the Revised Uniform Limited Liability Act, and similar statutes in Delaware, Illinois, and other states allow the parties to eliminate, modify, or define fiduciary duties in their operating agreement. These duties are often at issue when LLC members sue each other.
“This is a primary focus of our firm’s practice, so I was able to turn cases we have handled into useful hypotheticals for discussion,” Patterson said. “NBI is a first-class operation and I am proud to be a regular speaker for them.”
The seminar will be offered for Continuing Legal Education (CLE) credit to lawyers nationwide and will be webcast on Tuesday, November 25, 2014 from 9 a.m. to 4 p.m. (CDT). This is one of many webcasts to which Thomas has contributed. He has spoken previously for NBI on topics of breach of contract, restrictive covenants, and indemnity contracts.
