Tom Patterson and Kristi Browne Present Seminar on Shareholder Breakups Under the Business Corporation Act

Chicago, IL– March 10, 2015 – Thomas Patterson and Kristi Browne, attorneys of The Patterson Law Firm, will present a seminar entitled “Shareholder Breakups and Infidelity under the Business Corporation Act” on Thursday, March 26, 2015, from 8:00 a.m. to 10:15 a.m. at the East Bank Club, 500 N. Kingsbury Street, Chicago. There is no charge to attend and a continental breakfast will be served.

The presentation will focus on the fiduciary duties of loyalty, care and competence that shareholders, officers and directors of companies must uphold. What those duties mean, how far they extend and whether they can be modified by agreements are important questions for every privately-held Illinois corporation. The presentation will also discuss the Business Corporation Act; rights and remedies involved in a “business divorce;” what can be done about an insufferable partner, shareholder or officer, and more related topics.

Also presenting will be Scott Stringer and Joseph Grah of the accounting and business advisory firm, Baker Tilly, who will speak on a range of valuations involved in business divorces and who gets what in business breakups.
